ZÅŒEN CHALLENGES TERMS & CONDITIONS

General Terms

​

  • These Terms and Conditions (hereinafter - the Terms) determine the rules of registration and conduct of the Challenge named “Level-up Challenge” (hereinafter - the Challenge). 

  • Zoen, LLC (hereinafter – Zoen) and is henceforth the party responsible for the design and execution of the challenge. 

  • These Terms and Conditions can be updated at any time. By using this Portal and submitting to the Challenge, the Entrant fully and irrevocably agrees to these Terms and Conditions, which form a contract between the Entrant and Zoen. Please review them carefully. 

  • The use and disclosure of personal information provided by the Entrant is subject to the Portal Privacy Policy and Cookies Policy. Please read these documents before using the Portal or providing any personal information within the Portal.

Definitions

  • “Category” represents each submission opportunity for the Challenge. 

  • “Committee” or “Judge(s)” is the group of identified reviewers judging Submissions in a Challenge. 

  • “Challenge” is completing a creative project using The Arrington Method methodology and model, available on the zoen.io website. 

  • “Entrant” is the person providing the submission to the Challenge. 

  • “Prize” is the designated award provided for the selected winner for each category of the Challenge 

  • “Submission” is the proposal submitted within the Challenge, regardless of whether completed or unfinished.

Rules & Regulations

 

  • By entering the Challenge, the Entrants are deemed to have read, understood, and accepted these Terms and Conditions and Rules and Regulations, and agreed to be bound by them. 

  • Selected category winners have one week after being contacted to respond to communications, and if a return contact is not made within that time period, the prizes will be forfeited.  

  • The prizes, including cash prizes, are neither transferable nor refundable. 

  • Rights are reserved to refuse to honor any entry if they consider there has been an abuse of this Challenge or a breach of these Terms and Conditions. 

  • Decisions are final on any situation, including any not covered in these Terms and Conditions. Please note that entering any correspondence concerning any decisions made will not take place.

Entrant Eligibility & Registration for the Level Up Challenge

 

  • The challenge is open to Entrants aged 18 and over.  

  • Entrants are allowed one individual submission and one team submission, under the condition that each submission focuses on a separate project idea or concept. 

  • When submitting as a team, all Entrants must submit a standard registration. 

  • When submitting as a team, only one submission per team is required. 

  • Standard registration must be for projects that have not yet been completed.   

  • Submissions to the challenge must have been completed using the Arrington Method methodology and model. 

  • The finalists must produce a submission that can be retrieved and viewed by the judging panel. 

  •  Entrants must abide by the set terms and conditions. 

  • Rights are reserved to change the Rules of the Challenge. Updated rules will be posted on the website at zoen.io 

    • Zoen assumes no obligation, responsibility, or liability for any expenses incurred by the entrants because of participating in the Challenge. 

      • Entrants participate in the Challenge as individuals. 

      • The entrant cannot participate in the Challenge and will be immediately disqualified and forfeit all of the prizes if the Entrant or a Team Member is or becomes: 

        • a minor under age 18; 

        • otherwise prohibited by applicable export controls and sanctions programs; 

        • a resident anywhere that the Challenge or underlying Challenges are prohibited by law; 

        • a current employee, intern, contractor, officer, director of Zoen, or the Committee, or the Committee’s associate or family member. Family members of Zoen contractors are free to participate, barring the Zoen contractor is not a member of the Committee. 

  • By registering for the Challenge and/or providing a Submission, the Entrant expressly and unequivocally certifies full compliance with any and all eligibility requirements. 

  • Zoen reserves the right to verify Entrant’s eligibility and to adjudicate any dispute regarding eligibility at its sole discretion. Entrant agrees to provide any proof of eligibility requested, and refusal or failure to provide such proof within 5 (five) days of the request will result in disqualification from the Challenge and forfeiture of any prizes. 

  • To participate in the Challenge, an Entrant follows the submission procedure (Submission): 

  • All Submissions will be accepted through the zoen.io website. 

  • If an Entrant is selected as a winner, they agree to go through a verification process. The need for the verification process is justified by the fact that all Entrants are sure of the absence of fraud (including infringement of intellectual property rights). 

  • By providing any Submission, the Entrant agrees to the processing of any personal data and information according to the Portal Privacy Policy and Cookies Policy. 

  • Announcement of results: The 50 initial finalists will be notified by August 20, 2025 via email and physical Invitation. The top three finalists will be notified by August 22, 2025, via email. Non-winning entrants will not be individually notified of the results. The results will not otherwise be made public until the winners are showcased on the www.zoen.io challenge web page. â€‹

Collection of entries

​

  • All entries must be submitted via the online platform form at www.zoen.io. No physical Submissions, postal mail, or email submissions will be accepted. 

  • All entries must be submitted on or before August 13, 2025 (UTC+8, 23:59). No late submissions will be considered. 

  • Zoen reserves the right to disqualify any entry that fails to meet the submission requirements. 

  • Zoen will not assume responsibility for any damage or loss of any entries due to electronic transmission via the online platform.

Design & Intellectual property right registration

 

  • By submitting the designs, images, videos, files, etc., each Entrant agrees that he/she is authorized to and hereby grants its licensees and assignees, a royalty-free, non-exclusive, worldwide, perpetual license to exercise all rights to copy, edit and/or modify, publicly display, publicly perform, broadcast, publish and use, in whole or in part, any Submission, and any other intellectual property protected or protectable materials submitted by each Entrant, in any manner without further compensation during and after the Challenge, except where prohibited by law. 

  • No submissions will be used for commercial purposes.  

  • Every Entrant should note that the Submission will be publicly disclosed. If deemed necessary or appropriate, the entrant should file a patent application before submission.  

  • Nevertheless, every Entrant shall be solely responsible for the pursuit of any form of intellectual property protection for the Submission. Zoen is not liable for infringement or abuse of any design as a result of entry into the Challenge or as a result of any subsequent promotion and publicity. 

  • Zoen will not be responsible for proof of originality of all entries, nor be liable for protection of design copyright. Each Entrant retains sole copyright, and is therefore solely liable for his/her design(s) and/or project(s). 

  • In the event of any disputes, Zoen reserves the right to disqualify any entry and/or retract any award from the entrant. All decisions made are final and binding in all aspects relating to the Challenge. 

  • By entering this Challenge, you warrant that: 

    • All details provided with your entry are true and accurate. 

    • You are entering the Challenge as an individual, and not on behalf of any company or organization; 

    • You have all necessary rights and licenses to grant the rights set out in these Rules & Regulations. 

    • The Submission is an original work that has not been published elsewhere. 

    • You are the copyright owner of the submitted photograph and/or images as its author, (and any individual whose image is featured in the photograph has given consent for the use of his/her image); 

      • The exercise of the rights granted to Zoen in these Rules & Regulations will not infringe the rights of any third parties, and you will fully indemnify Zoen against any loss, liability, damage, cost or expense whatsoever resulting from any breach of these warranties. 

  •   By entering this Challenge, you warrant that: 

    • Zoen is given permission to use video content at upcoming and future Axiss events to showcase submissions.

Submissions

 

  • All Submissions must be the original work of the Entrant. The visual materials of the Submission must not have been previously published by any of the. In case of detection a violation of this term, Zoen solely evaluates the significance of the violation. 

  • The Entrant confirms that the Submission does not infringe any copyright, rights related to trademarks, trade secrets, designs, or patents of any third party. 

  • The Entrant shall be ready to supply copyright licenses for images used if requested. A failure to supply such licenses within the period specified may be grounds for disqualification. 

  • The Project selected for use for the Submission should be new or currently in progress and positioned to undergo application of The Arrington Method’s model and use of tools. Previously completed visions or projects do not meet the guidelines.

  • The Entrant assumes full liability for any infringement of rights and acknowledges that any Submission in any significant breach of these rights may be grounds for disqualification (see Disqualification of Submissions Section). In case a third party asserts infringement of intellectual property rights against the Zoen, the Entrant shall be liable for all costs concerning acts required to defend against such actions. 

  • All Submissions must conform to the Terms and Conditions and the rules and guidelines set out for the Challenge. Any significant breach of this term may be grounds for disqualification (see Disqualification of Submissions Section). 

  • All Submissions must be made solely through the specified form. Submissions received by email or any other delivery method will not be considered. 

  • The Entrant may continue to upload Submissions and/or edits through the specified upload form until 11.59 PM, EST Time, on the date of the Submission deadline. The entrant is responsible for determining the corresponding time in his/her time zone.

Ensuring the integrity of the challenge

 

  •  The Entrant must ensure that Submissions do not include any marks, logos, symbols, or signs that may identify its authority or source during the evaluation of the Submission by the Committee. Any significant breach of these rules may be grounds for disqualification (see Disqualification of Submissions Section). 

  • The Entrant may not approach or address any member of the Committee during the Challenge. Any breach of these rules will lead to immediate disqualification. 

  • The Committee will be made aware of an Entrant’s identity only after the winners are selected.

Publicity

 

  • By registering for the Challenge, the Entrant acknowledges and agrees that all aspects of any Submission (including, but not limited to, narratives, descriptions, details, images, illustrations, photographs, and animations, and names and images of the Entrants) may be used by Zoen for publicity purposes. 

  • The Entrant agrees to participate in the promotional activities and the publicity arrangements for the Challenge. Zoen is authorized to use any and all statements made by the Entrant in connection with the Challenge without additional approval and consent. 

  • Zoen reserves the right to undertake promotional activities and/or publicity arrangements through the website or other channels, as well as to discontinue any of its activities and/or arrangements at any time.

Fees & Costs

 

  • The Entrant is responsible for all costs and disbursements incurred in preparing a Submission. The Entrant is not entitled to claim the repayment of and/or the reimbursement of any of its expenses related thereto. 

  • There are no fees required to enter the challenge

Disqualification of submissions

 

  • case of providing false information about the Entrant during registration or concerning eligibility. 

  • Any significant non-compliance of the Submission with these Terms and Conditions, the Challenge guidelines and rules, or other applicable requirements may be grounds for disqualification. The right to decide on the disqualification of the Submission after evaluating the factors of the significance of the violation (for example, evaluating whether the reason for the disqualification is significant, causes damage, is preventable, etc.) are reserved. In case of a significant violation, rights are reserved to disqualify the Submission. In case of a minor violation, the right is reserved to warn the Entrant about the violation without disqualification of the Submission. Zoen is not obliged to notify and inform the Entrants about the decision and the evaluated arguments. 

  • Entrants shall not communicate with any member of the Committee during the term of the Challenge. Should it become known that a winning Submission was submitted by an Entrant in breach of this rule, the Submission shall be disqualified, and the prize revoked. 

  • All Submissions received after the closing date and time for Submission will be automatically disqualified.

Selection of the winner

​

  • Zoen reserves the right to assign judges, agents, or other authorized administrators to administer its Challenge, including making any decision or exercising such decisions at its discretion. 

  • Prior to registering for any Challenge, Entrants are advised to seek information about the Challenge, since establishing and maintaining eligibility for the duration of the Challenge is the sole responsibility of each Entrant. 

  • The winner of a Challenge is selected by the Committee. The winner is selected from all Entrants - from the combined anonymous list of Submissions, which consists of Submissions of all Entrants together. 

  • During the selection of winners, the Committee evaluates only the Submissions but does not know any information about the Entrant who submitted the Submission. 

  • The decision is final, no appeals will be allowed, and no further communication will be entered into with the Entrant or the committee judges. 

  • Unless stated otherwise in the Challenge, the association and/or relationship with any member of the Committee does not imply any contract, partnership, agency relationship or endorsement of any member of the Committee.

Prize

​

  • The Prize is announced on the Challenge Page of the website. If the Prize is a prize fund, then the prize fund is distributed among all Entrants who have the right to receive the Prize. 

  • The entrant is entitled to receive the Prize only personally and is not entitled to transfer the Prize to other persons. 

  • If Entrants submit as a team and are selected as a winner, the prize for the category won will be split evenly across documented team members.  

  • Team members are noted by those listed on the Standard Registration form for the Team name. 

  • Prize pay-out conditions: 

  • After announcing the results of the Challenge, the Entrant must supply a bank account for payment of the Prize (if the Entrant is entitled to receive a Prize). 

  • To allow time for any public concerns regarding copyright claims or plagiarism to be fully addressed, Zoen will endeavor to send the Prizes to the winner starting from 46th (forty-sixth) business day after notification of the decision of the Committee and receiving signed confirmation from the winner. 

  • The Prize is paid out when the Entrant manually enters his/her bank account in the winner form and selects the cash out option. 

  • The Entrant is obliged to collect the prize no later than 90 (ninety) days from the publication of the results. Unpaid Prizes remain the property of Zoen. 

  • The Entrant hereby confirms its binding commitment to engage and cooperate in the Challenge in case it submits the winning Submission. The Commissioning Party undertakes no promise or commitment to construct the project in the Submission or as envisioned in the Submission. 

  • Entrant is solely responsible for complying with all applicable tax laws and filing requirements, as well as for paying all taxes, duties, and other fees imposed on prizes awarded.

Intellectual property rights

​

  • Intellectual property rights include all rights including but not limited to copyright, trademarks, service marks, trade names, design rights, patents, know-how, trade secrets, inventions and other forms of intellectual or industrial property, whether registered or unregistered and all applications for the same (the “Intellectual Property Rights”). 

  • Upon providing the Submission to a Challenge, the Entrant and/or each member of the Entrant Team grants an unrestricted, worldwide, irrevocable and royalty-free, full license to the Intellectual Property Rights of the Submission and/or any part thereof as follows: publicly display by any means and in any media; to copy, modify, translate and/or adapt, archive and distribute for publicity purposes and use Submission and all information contained therein in any other ways (including for commercial purposes) without any further notice or remuneration to the Entrant. 

  • By transferring all Intellectual Property Rights of the Submission and/or any part thereof to Zoen, the Entrant (including each team member) agrees that Zoen has the right to use the Submission and all information contained therein (including the solutions, designs, concepts and other creative results) in machine learning processes (Artificial Intelligence learning processes) or transfer it to third parties who will use the Submission and all information contained therein these processes. The Entrant (including each team member) agrees that as a result of machine learning processes (Artificial Intelligence learning processes), the Submission or the information contained in it (including the solutions, designs, concepts and other creative results) may be partially or fully reproduced, copied and modified, and these results (including visual materials, designs) will be considered the result of a machine creation, which Zoen or any other third party will be entitled to use for commercial purposes. The Entrant (including each team member) waives all claims, demands, and objections against Zoen or any other third party in this regard. 

  • Zoen has the right but is not obliged to use all or any of the Intellectual Property Rights licensed above. 

  • All credits in connection with the Submission are associated with the registered name of Entrant. A reasonable effort will be made to display the author's name on any Submission whenever published or otherwise featured. 

  • The Entrant undertakes not to exploit any of its personal rights arising out of the Intellectual Property Rights in any way and manner contrary to the interests of Zoen.

Liability & indemnity

 

By registering or providing a Submission to a Challenge, the Entrant agrees to release, discharge and hold harmless Zoen and its partners, representatives and Committee judges from any claims, losses, damages, expenses and liabilities (including attorney’s fees and settlement fees) arising out of the involvement of Entrant in the Challenge, the provision of any Submission, any exploitation of Submission by Zoen, including any infringement of Intellectual Property Rights, or any other activities of Entrant related to a Challenge. 

 

Governing Law & dispute resolution

The validity, construction, and performance of these Terms and Conditions, as well as the legal relations among the Entrant and Zoen, are governed by and construed in accordance with the laws of Arizona, USA. 

​

By registering or providing a Submission to a Challenge, the Entrant agrees that any disputes, claims and causes of action between the Entrant and Zoen arising out of or connected with a Challenge or any Prize awarded shall be solved in negotiations between the involved parties in good faith under the spirit of fair treatment by parties towards each other. Notwithstanding anything else in this Agreement,  provides “AS IS” with no warranty, indemnity, or support, and its liability for Trials and Betas will not exceed $50.  

 

Conclusion

​

  • If any term (or part of a term) of the Terms is invalid, illegal, or unenforceable, the rest of the terms will remain in effect. 

  • These Terms and Conditions shall enter into effect when the Entrant has submitted a Submission to any category of the Challenge using the online form and expressed acceptance of these Terms and Conditions. 

  • Zoen has the right to unilaterally revise, amend, or change the Terms without any special notice to the Entrant. In case of revision, amendments, changes, and additions to the rules, the Entrant does not have the right to refer to the old version of the Terms. 

  • When making changes to the current wording of the Terms, the date of the last amendment is indicated. 

  • The new wording of the Terms shall enter into force from the moment of its posting on the website.
